1. Applicability

These general terms and conditions apply to all offers, quotes, agreements and activities of Vector Bouw BV (hereinafter: "Vector Groep"), unless explicitly agreed otherwise in writing.

2. UAV 2012

The Uniform Administrative Conditions for the execution of works and technical installation works 2012 (UAV 2012), adopted by decree of the Dutch Minister of Housing, Spatial Planning and the Environment, apply to all construction agreements.

The UAV 2012 is published in the Dutch government gazette and accessible via wetten.overheid.nl/BWBR0031190.

On request, we will send a paper or digital copy free of charge.

3. Quotes and offers

• Quotes are non-binding and valid for 30 days unless otherwise stated
• Prices exclude VAT (BTW) unless explicitly indicated
• Unforeseen additional work is quoted separately before execution
• Material costs are based on market prices on the quote date; price adjustments may apply for longer lead times

4. Agreement

An agreement is concluded upon written acceptance of our quote by the client, or by execution actions that imply an agreement.

5. Execution

• We perform work in accordance with current Dutch building regulations (Bouwbesluit) and applicable NEN standards
• The client provides timely choices (tile, fixtures, etc.) according to the agreed schedule
• Delays caused by the client may lead to schedule extension and associated additional costs
• Working hours are typically Monday to Friday, 07:30 to 16:30

6. Payment

• Payment is made in instalments according to a fixed payment schedule
• Standard payment term: 14 days from invoice date
• Late payment incurs statutory interest and reasonable collection costs
• Ownership of delivered materials remains with Vector Bouw BV until full payment is received

7. Warranty

• The warranty on completed work is as stipulated in the UAV 2012
• Hidden defects: 5 years (Dutch Civil Code art. 7:761)
• Structural defects: 10 years (Dutch Civil Code art. 7:761)
• Manufacturer warranty applies on materials
• Warranty is voided in case of improper use, neglected maintenance, or modifications by third parties

8. Liability

Our liability is limited to the amount paid out by our professional or business liability insurance in the relevant case, increased by the deductible. Indirect damages (consequential damages, lost profits) are excluded, except in cases of intent or wilful recklessness.

9. Safety & VCA

We work according to applicable safety regulations (V&G plan) and where applicable hold VCA certification. The client provides safe access to the work site.

10. Disputes

Dutch law applies exclusively to all agreements. Disputes are submitted to the competent court in the district where Vector Bouw BV is established, or, if parties agree, to the Dutch Council of Arbitration for Construction (Raad van Arbitrage voor de Bouw).

11. Final provisions

If a provision of these terms turns out to be void or voidable, the remaining provisions remain in full force. Only the Dutch text of these terms is binding; this English version is a translation provided for information.
